These Terms of Use (“Terms”) govern your use of the DataDeals website, calculator, guides, research, contact forms, and other publicly available online services.
By accessing or using the website, you agree to these Terms.
If you do not agree, do not use the website.
1. Who may use the website
The DataDeals website is intended primarily for business users who are at least 18 years old.
If you use the website on behalf of a company or other organization, you represent that you have authority to use the website on its behalf and to provide the information you submit.
2. What DataDeals provides
DataDeals provides information, research, assessment tools, and seller-side services relating to proprietary company data and the market for licensing that data to AI companies and other potential counterparties.
The public website is designed to help businesses:
- understand whether proprietary operating data may be commercially interesting;
- identify candidate data assets;
- understand current market evidence;
- request an initial human review;
- learn about potential licensing and transaction processes.
3. Website information is not an offer or formal appraisal
DataDeals publishes information about buyer programs, market demand, reported transactions, offers, bids, and other market evidence.
Unless expressly stated in a separate written agreement, website content and calculator outputs are informational and preliminary.
They are not:
- a formal appraisal or valuation opinion;
- an offer to purchase or license data;
- a guarantee of buyer interest;
- a guarantee of transaction value;
- a representation that a particular buyer will participate;
- a legal determination that particular data may be licensed;
- investment, legal, tax, accounting, privacy, cybersecurity, or other regulated professional advice.
A published buyer range, reported offer, transaction, bid, or market benchmark may describe a different company, asset, buyer, or transaction structure and should not be treated as proof of what your company will receive.
4. The calculator
The DataDeals calculator is an initial assessment tool.
It may use information you provide together with DataDeals research, methodology, and current market evidence to identify:
- potential market fit;
- candidate data assets;
- relevant demand signals;
- public market references;
- issues that may warrant further review.
Calculator outputs may be generated using deterministic software rules and may be incomplete because DataDeals has not reviewed the underlying data asset.
A calculator result is not a buyer quote, formal appraisal, transaction recommendation, or guarantee.
You remain responsible for evaluating any decision based on the result.
5. No client, agency, fiduciary, or brokerage relationship from website use
Using the website, calculator, contact form, or free Data Opportunity Review does not by itself create:
- a client or advisory relationship;
- an agency relationship;
- a fiduciary relationship;
- a brokerage relationship;
- authority for DataDeals to contact buyers on your behalf;
- authority for DataDeals to negotiate or bind your company;
- a confidentiality or nondisclosure agreement.
A seller-side representation, buyer-outreach process, transaction engagement, success fee, referral arrangement, or other commercial relationship must be separately agreed in writing when appropriate.
If a separate written engagement agreement conflicts with these Terms regarding the subject of that engagement, the engagement agreement controls.
6. Free reviews
DataDeals may offer a free initial assessment or 20-minute Data Opportunity Review.
A free review is a preliminary conversation intended to determine whether an opportunity appears worth investigating further.
DataDeals is not obligated to accept any opportunity or company for representation, and either side may decide not to proceed.
7. Information you submit
You are responsible for information you submit through the website.
You represent, to the best of your knowledge, that:
- the information is accurate enough for the purpose for which you provide it;
- you are authorized to provide it;
- providing it does not knowingly violate another person’s rights or an applicable contractual obligation.
You retain ownership of information you submit.
You grant DataDeals a limited right to use, store, reproduce, and process submitted information only as reasonably necessary to operate the website, provide requested assessments or communications, evaluate a potential engagement, protect the service, and comply with law.
This permission does not authorize DataDeals to market your proprietary data to buyers merely because you submitted information through the website.
8. Do not submit raw or highly sensitive information through public forms
Public website forms are not a data room.
Do not submit through them:
- passwords or authentication credentials;
- raw proprietary datasets;
- customer or employee databases;
- medical records;
- Social Security numbers or similar government identifiers;
- bank or payment-account information;
- biometric information;
- highly sensitive personal information;
- confidential files that should be handled under separate protections.
If DataDeals later needs to review confidential or proprietary materials, the parties should separately agree on what will be shared, how it will be shared, and any applicable confidentiality terms.
9. Confidentiality
Submitting information through a public website form does not, by itself, create an attorney-client privilege, fiduciary duty, nondisclosure agreement, or other special confidentiality obligation.
DataDeals will handle submitted information in accordance with its Privacy Policy and any separate written agreement that applies.
Do not send information requiring a formal confidentiality commitment until that commitment has been separately agreed.
10. Buyer introductions and transactions
Under a separate written engagement, DataDeals may help a seller:
- define and prepare a data opportunity;
- identify potential counterparties;
- approach or facilitate introductions to potential buyers;
- compare commercial interest;
- support diligence and transaction discussions.
Prospective buyers and other counterparties are independent third parties.
DataDeals does not control whether a third party:
- expresses interest;
- makes or changes an offer;
- requests diligence;
- imposes conditions;
- withdraws;
- completes a transaction.
No buyer, offer, competitive process, transaction, or price is guaranteed.
11. Professional advice and specialist review
Company-data transactions may involve legal, privacy, intellectual-property, contractual, tax, accounting, cybersecurity, employment, regulatory, or other issues.
DataDeals is not a law firm, accounting firm, tax advisor, investment advisor, or cybersecurity provider merely because it identifies or discusses these issues.
You should obtain qualified specialist advice where appropriate.
12. Market information and third-party sources
DataDeals may rely on sources including:
- official buyer and partnership programs;
- court or regulatory filings;
- company announcements;
- independent reporting;
- public websites;
- market participants;
- other third-party materials.
We aim to identify the nature and limitations of material market evidence, but third-party information may be incomplete, delayed, disputed, inaccurate, changed, or removed.
Historical market information may not reflect current demand.
DataDeals does not warrant the continued accuracy or availability of third-party material.
13. Third-party links
The website may contain links to third-party websites.
Links are provided for research, reference, or convenience and do not necessarily imply endorsement, affiliation, or approval.
DataDeals does not control third-party websites and is not responsible for their content, security, availability, terms, products, or privacy practices.
14. Intellectual property
Except for third-party materials and information submitted by users, the original text, branding, graphics, design, organization, and other original website materials made available by DataDeals are owned by or licensed to DataDeals and may be protected by intellectual-property laws.
Nothing in these Terms claims ownership of:
- information you submit;
- third-party research or reporting;
- public records;
- third-party trademarks;
- materials owned by buyers, sellers, or other sources.
You may view, link to, quote reasonably from, and use publicly available DataDeals content for ordinary personal or internal business purposes.
Without permission, you may not:
- republish substantial portions of DataDeals content as your own;
- reproduce the website or a substantial portion of it for competing commercial use;
- remove copyright or proprietary notices;
- use DataDeals branding in a way that implies affiliation or endorsement;
- systematically scrape or extract the website in a manner that materially burdens the service or substitutes for the website.
Nothing in this section restricts rights you may have under applicable copyright exceptions or other law.
15. Feedback
If you voluntarily provide suggestions or feedback about the public website, you allow DataDeals to use that feedback without restriction or compensation, provided that this does not give DataDeals ownership of your confidential company information or proprietary datasets.
16. Acceptable use
You may not use the website to:
- violate applicable law;
- attempt unauthorized access to systems, accounts, or data;
- interfere with or disrupt website operation;
- introduce malware or malicious code;
- impersonate another person or organization;
- submit information you know you are not authorized to provide;
- probe or circumvent security controls;
- use automated systems in a way that materially degrades or disrupts the service;
- misrepresent DataDeals research or calculator results as a buyer offer, formal appraisal, or guaranteed valuation.
17. Suspension and termination
DataDeals may restrict or terminate access to the website if we reasonably believe a user is violating these Terms, interfering with the service, creating security risk, or using the website unlawfully.
You may stop using the website at any time.
Sections that by their nature should survive termination, including intellectual-property, disclaimer, liability, indemnification, and dispute provisions, will survive.
18. Website availability and changes
We may modify, suspend, remove, or discontinue any part of the public website or its features.
We may update calculator logic, research, market evidence, eligibility assumptions, design, or functionality as the market develops.
We do not guarantee uninterrupted availability or that any historical result will remain reproducible after the website or evidence base changes.
19. Disclaimer of warranties
To the fullest extent permitted by law, the public website and publicly available services are provided on an “as is” and “as available” basis.
DataDeals disclaims warranties not expressly stated in a separate written agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the extent those warranties may lawfully be disclaimed.
DataDeals does not warrant that:
- the website will always be available, secure, or error-free;
- all third-party information is complete or current;
- calculator outputs will predict actual buyer behavior;
- a company will qualify for a transaction;
- any buyer will participate;
- any particular commercial result will occur.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
20. Limitation of liability
To the fullest extent permitted by law, DataDeals will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the public website or reliance on general website information.
To the fullest extent permitted by law, DataDeals’ aggregate liability for claims arising solely from your use of the free public website, calculator, or public content will not exceed the greater of:
- $100, or
- the amount you paid DataDeals specifically for the public website service giving rise to the claim during the 12 months before the event giving rise to the claim.
This limitation does not apply where applicable law prohibits it.
Liability relating to a separate paid engagement is governed by the applicable written engagement agreement.
21. Indemnification
To the extent permitted by law, you agree to indemnify and hold DataDeals harmless from third-party claims, losses, liabilities, and reasonable costs arising from:
- your unlawful misuse of the website;
- information or materials you knowingly submit without authority;
- your material violation of these Terms;
- your infringement of a third party’s rights through content you submit.
This section does not require you to indemnify DataDeals for DataDeals’ own unlawful conduct.
22. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to any mandatory law that applies, disputes relating solely to use of the public website will be brought in a state or federal court of competent jurisdiction in Florida.
23. Severability
If a provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
24. No waiver
A failure by DataDeals to enforce a provision of these Terms does not waive the right to enforce it later.
25. Assignment
You may not assign your rights or obligations under these Terms in a manner that would materially affect DataDeals without our consent.
DataDeals may assign these Terms in connection with a merger, reorganization, financing, sale of substantially all relevant assets, or similar transaction.
26. Entire agreement for public website use
These Terms and the Privacy Policy constitute the agreement governing use of the public website.
They do not replace or amend a separate written client, confidentiality, referral, transaction, or engagement agreement.
27. Changes to these Terms
We may update these Terms as the website or services change.
The effective date at the top identifies the current version.
Where required by law, we will provide additional notice of material changes.
Continued use of the website after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
